Oregon LLC fees

The Oregon Secretary of State publishes a fixed fee schedule — these are flat amounts, not ranges:

  • Articles of Organization (domestic LLC): $100. The one-time fee to form the LLC.
  • Annual report: $100. Due every year on the anniversary of the date your LLC was filed. The Secretary of State mails a renewal notice roughly 45 days before the due date. Missing it can lead to administrative dissolution.
  • Foreign LLC — Application for Authority: $275. For an LLC formed in another state that registers to do business in Oregon; the foreign annual report is also $275.
  • Amendment or dissolution: $100. Change of registered agent: $0.

How to file

  1. Check the name. Use the free Business Name Search on the Secretary of State site. Your LLC name must be “distinguishable” from names already on record and include an LLC designator.
  2. Appoint a registered agent with a physical Oregon street address (a P.O. box alone is not enough) who can receive legal mail during business hours.
  3. File the Articles of Organization online through the Oregon Business Registry (OBR) and pay the $100 fee. The Articles of Organization form does not ask for an SSN, so you can complete it whether or not you have one. After an online filing, processing typically begins within one business day.
  4. Write an operating agreement (internal; not filed with the state).
  5. Get an EIN from the IRS (free).
  6. Open a business bank account with your EIN and formation documents.

Oregon does not charge a separate “expedite” fee. The fast track is simply to file online through the Oregon Business Registry, which the Secretary of State processes on the same or the next business day. If you must mail paper Articles of Organization, send them by FedEx or UPS overnight (not USPS) to get the 2-3 business-day priority handling. Once your LLC is approved you can download proof of filing and request a Certificate of Existence — usually what a bank wants to open your business account.

After you form the LLC

  1. EIN from the IRS (free).
  2. Business bank account — most banks require your LLC documents plus the EIN.
  3. State and local licenses depending on your business type.
  4. Annual report every year on your filing anniversary to keep the LLC active.
  5. Estimated taxes if you expect to owe.

Forming an LLC without an SSN

  • The Oregon Articles of Organization form requires no SSN to file — the Secretary of State does not collect a Social Security number to register an LLC.
  • ITIN holders can be LLC members.
  • For taxes, a single-member LLC reports on Schedule C of the owner’s Form 1040; a multi-member LLC files Form 1065.

Common mistakes

  • Missing the annual report (the LLC can be administratively dissolved).
  • Mixing personal and business finances (weakens limited-liability protection).
  • Skipping an operating agreement, even for a single-member LLC.
  • Operating in another state without registering there as a foreign LLC.
